Schneider Electric agreed to acquire Bulgarian smart device manufacturer Shelly Group for €1.2 billion. The transaction values the company at approximately $1.4 billion. Schneider will launch an all-cash public takeover offer at €70 per share. This price represents a significant premium over Shelly's recent trading levels.

The acquisition merges Schneider's market reach with Shelly's home energy platform and smart home portfolio. Shelly's two founders support the transaction. The founders currently hold a combined 57% stake in the company.

The deal requires a minimum acceptance threshold of 95% of Shelly's shares. Completion remains subject to regulatory approvals. The companies expect the transaction to close by the first quarter of 2027.
