Schneider Electric signed an investment agreement to launch a voluntary public takeover of Shelly Group. The all-cash offer values the Bulgarian IoT provider at approximately €1.2 billion ($1.37 billion).

Schneider will pay €70.00 per share. This price represents a 22% premium over the September 23, 2026, closing price.

Shelly Group’s board and majority-stake founders support the acquisition. The deal integrates Shelly’s technology platform with Schneider’s global energy management expertise.

Completion depends on regulatory approvals and a 95% minimum acceptance threshold. The parties expect the transaction to close by the first quarter of 2027.
