Critical Metals Corp. (CRML) amended its acquisition structure for European Lithium, replacing a fixed exchange ratio with a floating mechanism. This update introduces a cap and collar to shield shareholders from short-term market volatility.

The new ratio will be calculated using the 20-day volume-weighted average price of CRML shares prior to the shareholder meeting. The deal caps the ratio at 0.045 new CRML shares if the price is $8.00 or lower. A floor of 0.025 shares applies if the price reaches $16.00 or higher.

Critical Metals maintains its strategic goal of gaining full control over the Wolfsberg Lithium Project in Austria. The transaction requires shareholder and court approvals, with completion expected in October 2026.
