The suit was filed on January 12, 2026. It alleges that Eventbrite co-founders, CEO Julia Hartz and Kevin Hartz, provided misleading disclosures regarding the deal's structure.

The complaint centers on the founders' pledge to support the sale. This action automatically converted their super-voting Class B shares into common stock. This conversion diminished their voting power, requiring broader shareholder support than initially suggested.

The acquisition was announced in early December 2025 and was expected to close in the first half of 2026. The legal challenge introduces significant uncertainty into the timeline.
