The European Commission granted unconditional approval for the €7.8 billion ($9.3 billion) acquisition of InPost.
A consortium led by FedEx and private equity firm Advent International is executing the buyout of the Polish parcel locker giant.
Regulators concluded the deal raises no competition concerns because the companies' activities are largely complementary.
The transaction has a limited impact on market shares in Poland, Italy, Portugal, and Spain.
FedEx and Advent will each hold a 37% stake in InPost following the transaction.
InPost will continue to operate as an independent brand headquartered in Poland.
The deal was first announced in February and is expected to close in the second half of 2026.
