The U.S. Department of Justice reached a settlement with Live Nation Entertainment to resolve a major antitrust lawsuit regarding its alleged monopoly over the live events industry.

The agreement allows Live Nation to avoid a forced divestiture of Ticketmaster, which was a central demand in the original 2024 lawsuit. Live Nation will pay hundreds of millions of dollars in penalties to participating states.

Structural changes require the company to divest several amphitheaters and open its Ticketmaster platform to rival sellers to increase competition. Shares of Live Nation (LYV) rose significantly as the settlement removed the threat of a corporate breakup and resolved a major legal overhang.
