Ocugen signs OCU400 licensing term sheet for MENA region worth up to $259M

Ocugen, Inc. announced it has signed a binding term sheet with Roots Pharmaceutical to license and commercialize OCU400, its gene therapy for Retinitis Pigmentosa, in the Middle East and North Africa (MENA) region. The definitive agreement is expected to be executed within the next 90 days.

• Financial Terms: Ocugen is eligible for up to $4 million in upfront and near-term development payments, up to $255 million in sales milestones, and a 22% royalty on net sales.
• Agreement Scope: The deal grants Roots Pharmaceutical exclusive rights to OCU400 in the MENA region. Ocugen will be responsible for manufacturing and commercial supply.
• Product Status: OCU400 is currently in a Phase 3 clinical trial, with a topline data readout expected in the first quarter of 2027.
