Shopify's Audit Committee Chair Resigns to Join U.S. Department of Commerce

Shopify Inc. announced Prashanth Mahendra-Rajah's immediate resignation. He departed from its Board of Directors and as Chair of the Audit Committee. Mahendra-Rajah accepted a full-time position with the U.S. Department of Commerce. Shopify filed a Form 8-K with the SEC on July 2, 2026.

The Audit Committee oversees financial reporting and internal controls. Joe Natale will assume the role of Chair of the Audit Committee. Natale currently serves as Chair of the Board and Lead Independent Director. This leadership transition aims to mitigate investor concerns about financial oversight stability.
