Stack BTC signed a non-binding agreement to acquire precious metals dealer Direct Bullion for up to £12 million ($16 million). The UK-based firm intends to acquire cash-generative businesses to fund its Bitcoin treasury.
The deal includes £3 million in cash. Stack BTC will also issue £4 million in new shares. A further £5 million is available through performance-based payments. Direct Bullion reported £52.1 million in revenue for the fiscal year ending January 31, 2026. The dealer generated £2.15 million in post-tax profit during this period.
Stack BTC will use operating cash flow from gold and silver sales to systematically purchase Bitcoin. The transaction is classified as a reverse takeover. Stack BTC’s Chief Strategy Officer, Paul Withers, currently owns Direct Bullion. Former Brexit Party leader Nigel Farage holds a significant stake in Stack BTC. The deal remains subject to due diligence and final agreements.
