MicroStrategy Executive Chairman Michael Saylor revealed the company used OpenAI’s ChatGPT to design a $15 billion preferred stock instrument. Saylor disclosed the details during a podcast interview in August 2026. He turned to artificial intelligence after exhausting traditional financing routes such as convertible debt.
The process created a new class of hybrid securities including convertible preferred stock with a variable monthly dividend. Saylor noted that traditional bankers and lawyers had never seen this specific structure before. The AI provided the initial blueprint before the instrument underwent standard legal and regulatory reviews.
MicroStrategy utilized the $15 billion in capital to fund its ongoing Bitcoin acquisition strategy. The disclosure underscores the growing role of AI in executing complex corporate finance maneuvers.
