Shell plc signed a definitive agreement to acquire ARC Resources Ltd. for approximately $22 billion.
The transaction value includes assumed debt. Shell will pay 75% of the consideration in shares. The remaining 25% will be paid in cash.
The offer represents a 27% premium to ARC’s closing price on April 24, 2026. This acquisition adds the Montney resource base in Canada to Shell’s integrated natural gas business.
The move aims to strengthen Shell’s long-term LNG portfolio. It also establishes a new platform for growth in North America.
ARC’s Board of Directors unanimously approved the deal. Shell expects the transaction to close in July 2026.
