LivePerson (LPSN) adjourned its August 20, 2026, special shareholder meeting regarding its acquisition by SoundHound AI (SOUN). The company rescheduled the merger vote for September 2, 2026.
The postponement occurred because the company failed to reach the required threshold of a majority of all outstanding shares. Preliminary results show that over 97% of the shares already voted support the merger.
LivePerson is currently a few percentage points away from the participation level necessary for approval.
LivePerson shares fell approximately 3.8% following the announcement. SoundHound AI shares also declined as the delay introduced uncertainty into the deal.
