LivePerson’s Board of Directors issued a formal letter on August 11, 2026, advising stockholders to approve the acquisition by SoundHound AI, Inc. The board and proxy advisory firms ISS and Glass Lewis unanimously recommend the transaction. Shareholders will vote on the proposal at a special meeting scheduled for August 20, 2026.

The deal provides shareholders a premium and equity in a combined, debt-free entity. The merged company expects an accelerated path to profitability. Projections show the combined business generating between $350 million and $400 million in revenue during 2027.

The board warns that rejecting the merger risks a potential Nasdaq delisting. Failure to approve the deal could also leave LivePerson unable to service its substantial debt.
