Mexico's National Antitrust Commission rejected Visa's plan to acquire a 51% stake in Prosa, a major Mexican payments processor. The regulator blocked the deal on Friday, February 20, 2026, stating that Visa’s proposed remedies failed to mitigate market risks.
The commission determined that the acquisition would grant Visa a dominant position in Mexico's card payment system. Visa would have controlled two of the country's three card issuers. The deal would have also given Visa control over two of the four existing clearinghouses.
Regulators noted that the merger would leave Mastercard as the only remaining major competitor. Furthermore, the acquisition would have provided Visa with access to sensitive data from payments processed for its rival.
