Exxon Mobil’s Board of Directors unanimously recommended shifting the company’s state of incorporation from New Jersey to Texas. The energy giant has maintained its legal domicile in New Jersey since 1882. The company’s leadership and core operations have been headquartered in Texas since 1989.
CEO Darren Woods identified Texas’s newly established Business Court as a primary driver for the move. The company seeks to utilize legal frameworks that offer increased protection against frivolous shareholder lawsuits. Exxon Mobil expects the Texas legal system to resolve complex corporate disputes more efficiently.
The proposed redomiciliation will not alter business operations, management strategy, assets, or employee locations. Shareholder rights under Texas law will remain comparable to or stronger than existing New Jersey protections. Shareholders will vote on the proposal at the 2026 Annual Meeting.
